1.1 Introduction

Welcome to CodClans.com. CodClans.com is operated by PlayerGrid Ltd, a Redeyed Corporation subsidiary.

These Terms of Service, together with any policies, rules, guidelines, notices, or additional terms referenced in this document, govern your access to and use of CodClans.com, including any accounts, profiles, ladders, rankings, forums, community features, subscriptions, apparel purchases, digital services, content, communications, and related services made available through the platform.

By accessing or using CodClans.com, creating an account, purchasing a subscription, buying merchandise, joining a ladder, posting content, or otherwise interacting with the platform, you agree to these Terms. If you do not agree, you must not use CodClans.com.

1.2 Definitions

• CodClans, Platform, Site, we, us, or our means CodClans.com and PlayerGrid Ltd.
• User, you, or your means any person who accesses, uses, registers for, posts on, buys from, or participates in the Platform.
• Account means a registered user profile on CodClans.com.
• User Content means content submitted, uploaded, posted, displayed, transmitted, or made available by users, including usernames, team names, posts, comments, messages, images, logos, clan materials, profile details, and other materials.
• Ladders means free, skill-based competitive ranking systems offered by CodClans. Ladders award no money, prizes, or payouts.

1.3 Eligibility

You must be at least 16 years old to use CodClans.com. By using the Platform, you represent that you are at least 16 years old.

If you are between 16 and the age of legal majority in your jurisdiction, you may use CodClans.com only with the permission and supervision of a parent or legal guardian who agrees to these Terms on your behalf.

CodClans.com is not intended for children under 16. We do not knowingly permit users under 16 to create accounts or participate in the Platform. If we learn that an account belongs to a user under 16, we may suspend or delete the account and related information.

1.4 Account Registration and Security

To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information and to keep your account information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must immediately notify us at [email protected] if you believe your account has been compromised.

We may suspend, restrict, or terminate accounts at any time if we believe there has been a violation of these Terms, Platform rules, event rules, law, security requirements, or community standards.

1.5 Platform Purpose

CodClans.com is a gaming community platform that may include user accounts, profiles, clans, forums, rankings, seasonal ladders, subscriptions, apparel, digital features, and related community tools.

CodClans is intended to support competitive gaming communities in a lawful, skill-based, free-to-play, non-wagering environment.

1.6 No Gambling, Wagering, Cash Prizes, or Payouts

CodClans.com is not a gambling, betting, wagering, casino, sportsbook, fantasy betting, sweepstakes, paid-entry contest, or prize-payout platform. CodClans does not offer cash prizes, cash payouts, real-money winnings, or paid-entry competitions of any kind.

Users may not use CodClans.com to:

• place bets or wager money, crypto, credits, skins, items, points, tokens, or anything of value;
• pool, stake, or pay funds toward any competition or match outcome;
• operate side bets or wagering groups; or
• disguise wagering as donations, clan dues, credits, fees, sponsorships, or tips.

CodClans ladders and rankings are free to join, skill-based, and award no money, prizes, or payouts. Subscriptions, memberships, and apparel are the only paid offerings, and no purchase is ever required to participate in any ladder or ranking.

Violation of this policy may result in account suspension, removal from the Platform, or other action.

1.7 Ladders, Rankings, and Competitive Integrity

CodClans may offer free ladders, rankings, leaderboards, and seasonal standings. Participation is subject to these Terms, ladder-specific rules, and moderation decisions.

You agree not to cheat, exploit, manipulate, collude, impersonate another player, submit false match results, use unauthorized software, abuse reporting systems, threaten users, or otherwise interfere with fair competition.

CodClans may adjust rankings, remove results, disqualify participants, ban teams, or void matches where we determine that competitive integrity, legal compliance, safety, or fairness requires it.

1.8 Subscriptions and Paid Features

CodClans may offer subscriptions, memberships, premium tools, profile upgrades, clan features, analytics, cosmetic benefits, apparel, digital services, or other paid features.

Subscriptions may renew automatically unless canceled before the renewal date. By subscribing, you authorize CodClans and its payment processors to charge your selected payment method for recurring fees, applicable taxes, and authorized charges.

Subscription features may change over time. We may add, remove, modify, limit, or discontinue features, provided that material changes will be handled in accordance with applicable law and Platform notices.

1.9 Payments

CodClans may use third-party payment processors, including Stripe, PayPal, Coinbase, and other providers. By making a payment, you agree to the applicable payment processor's terms and policies.

CodClans does not control all payment-processing decisions. Payments may be declined, delayed, reversed, reviewed, held, refunded, or restricted by payment processors, banks, card networks, fraud-prevention tools, or legal-compliance systems.

You agree not to use stolen payment methods, unauthorized accounts, fraudulent transactions, chargeback abuse, refund abuse, or payment evasion.

1.10 Refunds, Exchanges, and Final Sale Policy

Unless required by law or expressly approved by CodClans, all sales are final.

Digital subscriptions, memberships, credits, digital services, profile upgrades, clan upgrades, promotional items, and other digital purchases are non-refundable once purchased, activated, delivered, used, or accessed.

For apparel, CodClans may offer an exchange policy if sizing is incorrect, subject to inventory availability, item condition, return or exchange instructions, and reasonable review. Apparel exchanges may be denied if items are worn, washed, damaged, altered, missing tags or packaging, returned late, or otherwise ineligible.

CodClans may make exceptions in its sole discretion after specialized review. Any exception does not create a right to future refunds or exchanges.

1.11 Chargebacks and Payment Disputes

If you initiate a chargeback, dispute, reversal, or payment claim without first contacting CodClans, we may suspend your account, restrict purchases, remove access to paid features, or require resolution before restoring account access.

This does not limit your legal rights, but users must not abuse payment-dispute systems or falsely claim unauthorized transactions.

1.12 User Content License

You retain ownership of your User Content, subject to the rights you grant CodClans under these Terms.

By submitting User Content to CodClans, you grant CodClans a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, publish, distribute, modify, format, create derivative works from, promote, and use your User Content in connection with operating, improving, marketing, moderating, and displaying the Platform.

This license allows CodClans to operate forums, profiles, clans, rankings, highlights, community pages, promotional materials, moderation tools, and Platform features.

You represent that you have all rights necessary to submit your User Content and grant this license.

1.13 User Content Restrictions

You may not submit User Content that:

• infringes copyrights, trademarks, publicity rights, privacy rights, or other rights;
• contains threats, harassment, hate speech, doxxing, or targeted abuse;
• contains sexual content involving minors or exploitative content;
• promotes violence, self-harm, illegal conduct, gambling, betting, fraud, or scams;
• includes malware, phishing, credential theft, or malicious links;
• impersonates another person, clan, sponsor, team, platform, or company;
• falsely implies affiliation with CodClans, Activision, Call of Duty, Microsoft, Sony, Xbox, PlayStation, esports organizations, sponsors, or trademark owners; or
• violates these Terms, community rules, or law.

CodClans may remove, restrict, edit, hide, demonetize, disable, or report User Content at any time.

1.14 Community Conduct

You agree to treat other users with respect. You may not harass, threaten, stalk, dox, exploit, spam, scam, grief, manipulate, defame, or abuse other users.

Competitive banter may be allowed within reasonable limits, but hate speech, targeted harassment, discriminatory abuse, threats, intimidation, or real-world harm are prohibited.

CodClans may moderate content and accounts at its discretion to protect users, competitive integrity, and the Platform.

1.15 Intellectual Property

CodClans.com, including its name, branding, logos, designs, software, platform features, layouts, graphics, databases, rankings, rules, content, code, and related materials, is owned by or licensed to PlayerGrid Ltd and protected by intellectual-property laws.

You may not copy, scrape, reverse engineer, reproduce, resell, redistribute, frame, mirror, impersonate, modify, or exploit CodClans materials without written permission.

1.16 Third-Party Trademarks and Game-Related Names

CodClans is an independent gaming community platform. CodClans is not affiliated with, sponsored by, endorsed by, or officially connected to Activision, Call of Duty, Microsoft, Xbox, Sony, PlayStation, Battle.net, Steam, or any other game publisher, console manufacturer, platform, trademark owner, or esports organization unless expressly stated in writing.

All third-party trademarks, game titles, logos, images, product names, team names, platform names, and related references belong to their respective owners and are used for identification, commentary, community, compatibility, and informational purposes only.

1.17 DMCA and Copyright Complaints

CodClans respects intellectual-property rights. If you believe content on CodClans infringes your copyright, you may submit a DMCA notice to [email protected].

1.18 Advertising, Sponsors, and Affiliates

CodClans may display advertisements, sponsored content, affiliate links, partner promotions, sponsor-hosted events, or brand placements. Sponsored or affiliate relationships may result in CodClans receiving compensation.

Sponsors do not control CodClans' legal policies, no-wagering requirements, moderation decisions, or user-safety standards.

1.19 Analytics and Tracking

CodClans may use analytics, advertising, cookies, pixels, and similar technologies, including services such as Google Analytics, Google AdSense, Meta Pixel, and similar tools. These technologies may collect information about your device, browser, usage, pages viewed, interactions, and advertising performance.

1.20 Prohibited Uses

You may not use CodClans to:

• violate any law or regulation;
• operate gambling, betting, wagering, staking, paid-entry prize contests, or side bets;
• cheat, exploit, manipulate rankings, or submit false match results;
• harass, threaten, dox, or abuse users;
• upload infringing, illegal, deceptive, or harmful content;
• scrape, crawl, or harvest data without authorization;
• interfere with Platform security, servers, databases, or code;
• create multiple accounts to evade bans or manipulate results;
• sell, transfer, rent, or share accounts without permission;
• use bots, automation, scripts, exploits, or unauthorized tools; or
• abuse payment, refund, exchange, or chargeback systems.

1.21 Platform Changes and Availability

CodClans may modify, suspend, discontinue, update, restrict, or remove any part of the Platform at any time. We do not guarantee uninterrupted availability, error-free operation, ranking accuracy, event availability, feature continuity, or permanent access to content.

1.22 Termination

We may suspend or terminate your access to CodClans at any time if we believe you violated these Terms, event rules, community rules, law, payment obligations, or Platform safety requirements.

Upon termination, your right to use the Platform ends immediately. Certain sections of these Terms survive termination, including intellectual property, payment obligations, disclaimers, limitation of liability, dispute resolution, arbitration, and governing law.

1.23 Disclaimers

CodClans is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, CodClans disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and uninterrupted operation.

CodClans does not guarantee that competitions will be error-free, rankings will be uninterrupted, users will behave properly, or third-party services will function without issues.

1.24 Limitation of Liability

To the fullest extent permitted by law, PlayerGrid Ltd, CodClans, and their owners, managers, officers, employees, contractors, affiliates, service providers, sponsors, and partners will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages arising from or related to the Platform, even if advised of the possibility of such damages.

To the fullest extent permitted by law, CodClans' total liability for any claim will not exceed the greater of:

1. the amount you paid to CodClans in the three months before the claim arose; or
2. $100.

Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

1.25 Indemnification

You agree to defend, indemnify, and hold harmless PlayerGrid Ltd, CodClans, and their owners, managers, officers, employees, contractors, affiliates, service providers, sponsors, and partners from any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to your use of the Platform, User Content, violation of these Terms, violation of law, payment disputes, infringement of rights, or misuse of the Platform.

1.26 Binding Arbitration and Class Action Waiver

Please read this section carefully. It affects your legal rights.

You and CodClans agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, your account, subscriptions, purchases, content, or communications will be resolved through binding arbitration rather than in court, except where prohibited by law or where either party seeks relief in small claims court or injunctive relief for intellectual-property, security, or unauthorized-access matters.

You and CodClans agree to resolve disputes only on an individual basis. You may not bring claims as a plaintiff or class member in any class, collective, consolidated, private attorney general, or representative action.

Before filing arbitration, the party bringing a dispute must send written notice to the other party describing the claim and requested relief. Notices to CodClans must be sent to [email protected] and to the mailing address listed below. The parties will attempt in good faith to resolve the dispute informally for at least 30 days.

The arbitration will be conducted by a neutral arbitration provider selected in accordance with applicable rules and law. The arbitration will take place in Nevada unless the parties agree otherwise or the arbitrator permits remote proceedings.

1.27 Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles, except where federal law applies.

1.28 Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on CodClans.com with a revised "Last Updated" date. Continued use of the Platform after updates means you accept the updated Terms.
